1. Agreement to Terms
By accessing and using the services provided by Study-Dynamo UK ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
These Terms constitute a legally binding agreement between you and Study-Dynamo UK regarding your use of our personal assistant and productivity planning services.
2. Description of Services
Study-Dynamo UK provides professional personal assistant and productivity planning services, including but not limited to:
- Time management and scheduling assistance
- Administrative support services
- Project coordination and management
- Digital organization and workflow optimization
- Productivity consulting and planning
- Related organizational and support services

3. Service Engagement and Contracts
3.1 Service Proposals
All services begin with a consultation and written proposal outlining the scope of work, deliverables, timeline, and pricing. Services commence only upon written acceptance of the proposal and payment of any required deposits.
3.2 Scope of Work
The scope of services will be clearly defined in each service agreement. Any changes to the scope require written agreement from both parties and may result in adjusted pricing and timelines.
3.3 Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information necessary for service delivery
- Timely communication and response to requests
- Providing necessary access to systems, tools, and information
- Payment of fees according to agreed terms
- Compliance with applicable laws and regulations
4. Payment Terms and Pricing
4.1 Fees and Payment
Service fees are specified in individual service agreements. Payment terms may include:
- Hourly rates for time-based services
- Fixed project fees for defined scope work
- Monthly retainer fees for ongoing services
- Deposits required before service commencement
4.2 Payment Schedule
Unless otherwise specified, invoices are due within 30 days of receipt. Late payments may incur additional charges and may result in suspension of services.
4.3 Expenses
Client agrees to reimburse reasonable expenses incurred in connection with service delivery, including travel, materials, and third-party services when pre-approved.
5. Confidentiality and Data Protection
5.1 Confidential Information
We understand the sensitive nature of the information entrusted to us. All client information, business data, personal details, and strategic information will be treated as strictly confidential.
5.2 Data Security
We implement appropriate technical and organizational measures to protect client data against unauthorized access, alteration, disclosure, or destruction. Our data protection practices are detailed in our Privacy Policy.
5.3 Data Retention
Client data will be retained only as long as necessary to provide services or as required by law. Upon termination of services, we will securely delete or return client data as requested.
6. Intellectual Property
6.1 Client Materials
All materials, information, and intellectual property provided by the client remain the exclusive property of the client.
6.2 Work Product
Unless otherwise specified in a service agreement, work products created specifically for a client become the property of that client upon full payment of fees.
6.3 Company Resources
Our methodologies, processes, templates, and general knowledge remain our intellectual property and may be used in serving other clients while maintaining confidentiality.
7. Limitations of Liability

7.1 Service Performance
While we strive to provide high-quality services, we make no guarantees regarding specific outcomes or results. Our liability is limited to the value of services provided.
7.2 Limitation of Damages
In no event shall Study-Dynamo UK be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
7.3 Maximum Liability
Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim.
8. Termination
8.1 Termination by Client
Clients may terminate services at any time with written notice. Client remains responsible for payment of all services rendered up to the termination date.
8.2 Termination by Company
We may terminate services with 30 days' written notice or immediately for material breach of these Terms, non-payment, or other circumstances that make service delivery impractical.
8.3 Effect of Termination
Upon termination, all outstanding fees become immediately due, confidentiality obligations continue, and we will return or securely destroy client materials as requested.
9. Professional Standards and Conduct
9.1 Professional Ethics
We maintain high professional and ethical standards in all client interactions and service delivery. We do not engage in activities that create conflicts of interest with client objectives.
9.2 Independent Contractor Relationship
Study-Dynamo UK operates as an independent contractor. No employee-employer, partnership, or joint venture relationship is created by these Terms or service agreements.
9.3 Compliance
We comply with all applicable laws and regulations in the provision of our services and expect clients to do the same in their business operations.
10. Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
10.2 Dispute Resolution Process
In the event of a dispute, parties agree to first attempt resolution through direct negotiation. If unsuccessful, disputes may be resolved through mediation or arbitration before pursuing court action.
11. General Provisions
11.1 Entire Agreement
These Terms, together with specific service agreements and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
11.2 Modifications
We may update these Terms from time to time. Material changes will be communicated to active clients with reasonable notice. Continued use of services after changes indicates acceptance of updated Terms.
11.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
11.4 Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or other force majeure events.
